End User License Agreement (EULA)

Effective Date: December 17, 2025

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Luxury Lounge Casino Development LTD ("Company," "we," "us," or "our") for the use of the Luxury Lounge Casino mobile application (the "App").

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE APP.

1. Grant of License

1.1 License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a compatible mobile device that you own or control, solely for your personal, non-commercial use.

1.2 License Restrictions

You agree NOT to:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Rent, lease, lend, sell, sublicense, or transfer the App to any third party
• Use the App for any illegal or unauthorized purpose
• Circumvent or attempt to circumvent any security measures or access restrictions
• Use automated scripts, bots, or other unauthorized tools
• Exploit bugs, glitches, or errors for any advantage
• Interfere with or disrupt the App's servers or networks

2. Ownership and Intellectual Property

2.1 App Ownership

The App and all components thereof, including but not limited to software code, graphics, designs, text, audio, video, animations, user interfaces, trademarks, logos, and other materials, are owned by Luxury Lounge Casino Development LTD and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

2.2 Reservation of Rights

All rights not expressly granted to you in this Agreement are reserved by the Company. Nothing in this Agreement grants you any ownership rights to the App or its content.

2.3 Trademarks

"Luxury Lounge Casino" and associated logos are trademarks of Luxury Lounge Casino Development LTD. You may not use these trademarks without our prior written consent.

3. User Accounts and Conduct

3.1 Account Registration

To access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Prohibited Conduct

You agree to use the App in compliance with all applicable laws and regulations and in a manner that does not:

• Violate any third-party rights
• Harass, abuse, threaten, or harm others
• Distribute spam or unsolicited messages
• Transmit viruses, malware, or harmful code
• Impersonate any person or entity
• Engage in fraudulent or deceptive practices

4. Virtual Currency and In-App Purchases

4.1 Virtual Currency

The App uses virtual currency (coins, chips, or credits) for gameplay. Virtual currency:

• Has no monetary value outside the App
• Cannot be redeemed for real money, goods, or services
• Is for entertainment purposes only
• May be earned through gameplay or purchased via in-app purchases

4.2 Purchases

All in-app purchases are processed through the Apple App Store. By making a purchase, you agree to the App Store's terms of service. All purchases are:

• Final and non-refundable (except as required by applicable law)
• Subject to the prices displayed at the time of purchase
• For personal, non-commercial use only

4.3 No Real Money Gambling

IMPORTANT: The App is a social casino for entertainment only. It does NOT offer real money gambling, and you cannot win real money or prizes. Virtual currency cannot be exchanged for real money.

5. Privacy and Data Collection

Your use of the App is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the App, you consent to our collection, use, and disclosure of your information as described in our Privacy Policy.

6. Updates and Modifications

6.1 App Updates

We may provide updates, patches, or new versions of the App from time to time. These updates may be necessary for continued use of the App. You agree to accept such updates, which are subject to this Agreement.

6.2 Changes to the App

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time without notice, including:

• Games and features
• Virtual currency values and pricing
• Promotional offers and bonuses
• System requirements

7. Termination

7.1 Termination by You

You may terminate this Agreement by uninstalling the App and ceasing all use. You may also request account deletion by contacting us at [email protected].

7.2 Termination by Us

We reserve the right to terminate or suspend your license and access to the App at any time, with or without notice, if:

• You violate this Agreement
• We suspect fraudulent, illegal, or abusive activity
• We are required to do so by law
• We decide to discontinue the App

7.3 Effect of Termination

Upon termination:

• Your license to use the App immediately ceases
• You must uninstall the App from all devices
• All virtual currency and game progress may be deleted
• No refunds will be provided for unused virtual currency or purchases
• Sections of this Agreement that by their nature should survive termination will continue to apply

8. Disclaimers and Warranties

8.1 "As Is" and "As Available"

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantees

We do not warrant that:

• The App will be uninterrupted, error-free, or secure
• Defects or errors will be corrected
• The App is free from viruses or harmful components
• Results obtained from using the App will be accurate or reliable
• The quality of any products, services, or information obtained through the App will meet your expectations

8.3 Third-Party Services

The App may integrate with or link to third-party services. We are not responsible for the availability, content, or practices of third-party services.

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LUXURY LOUNGE CASINO DEVELOPMENT LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Business interruption
• Loss of virtual currency or game progress
• Unauthorized access to or alteration of your transmissions or data

9.2 Maximum Liability

Our total liability to you for all claims arising from or related to the App shall not exceed the greater of: (a) the amount you paid to us in the three (3) months preceding the claim, or (b) $100 USD.

9.3 Basis of the Bargain

The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between you and us. We would not be able to provide the App without these limitations.

10. Indemnification

You agree to indemnify, defend, and hold harmless Luxury Lounge Casino Development LTD, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the App
• Your violation of this Agreement
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

11. Dispute Resolution and Governing Law

11.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Luxury Lounge Casino Development LTD is established, without regard to its conflict of law provisions.

11.2 Informal Resolution

In the event of any dispute arising from this Agreement, you agree to first contact us at [email protected] to attempt to resolve the matter informally.

11.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority, except where prohibited by law.

11.4 Class Action Waiver

You agree that any proceedings to resolve disputes will be conducted on an individual basis and not as a class action, consolidated action, or representative action.

12. Export Compliance

The App may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country to which the export of the App would be prohibited.

13. Age Restrictions

The App is intended for users who are 18 years of age or older. By using the App, you represent and warrant that you are at least 18 years old (or the legal age of majority in your jurisdiction). We do not knowingly collect information from children under 18.

14. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by:

• Posting the updated Agreement in the App
• Updating the "Effective Date" at the top
• Sending you a notification (if required by law)

Your continued use of the App after changes become effective constitutes your acceptance of the modified Agreement. If you do not agree to the changes, you must stop using the App.

15. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

This Agreement, together with our Privacy Policy and Terms and Conditions, constitutes the entire agreement between you and Luxury Lounge Casino Development LTD regarding your use of the App and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.

17. No Waiver

Our failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision. No waiver of any provision of this Agreement shall be effective unless in writing and signed by us.

18. Assignment

You may not assign or transfer this Agreement or any of your rights or obligations under this Agreement without our prior written consent. We may assign or transfer this Agreement without restriction.

19. Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, labor disputes, internet service provider failures, or telecommunications infrastructure failures.
